Terms of Use

Summary — please read

  • Path2Trade is an education platform, not a financial service. Nothing on the platform is investment, financial, tax, or legal advice.
  • Trading is risky. You can lose some or all of your money. We do not guarantee any results, profit, or income.
  • If you are in the EU/EEA, you may have a statutory 14-day right to withdraw from a paid distance contract. For paid digital content or digital services, this right may be affected if you ask us to begin access or performance immediately during the withdrawal period (see Section 14.5).
  • If you are in the United States, most disputes with us must be resolved by individual arbitration, not in court or as part of a class action. You can opt out within 30 days (see Section 28).

This summary is for convenience only. The full Terms below are what legally bind you and us.

These Terms of Use (the "Terms") form a binding agreement between you and Path2Trade ("Path2Trade," "we," "us," or "our"). The terms "you" and "your" refer to the individual accessing or using the Service.

By accessing or using any part of the Service, you represent that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree to these Terms, you are not authorized to use the Service.

Please note that these Terms contain a mandatory arbitration of disputes provision (Section 28) that requires the use of arbitration on an individual basis to resolve disputes for users in the United States, rather than jury trials or class action lawsuits. That provision does not apply to consumers in the European Union or the United Kingdom, whose mandatory consumer-protection rights are preserved.

1. General

The Path2Trade websites (the "Websites") and related online services (together, the "Service") are operated by Path2Trade. Access to and use of the Service is subject to these Terms. If you access the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Description of the Service

The Service provides educational tools for learning and practising financial-market chart reading and trading-pattern recognition. This may include written lessons, visual explanations, chart examples, historical or simulated chart cases, multiple-choice exercises, "Buy", "Sell", "Nothing", or similar practice prompts, quizzes, spaced-repetition review, progress tracking, skill maps, and other learning tools.

The Service is a training and educational environment only. It is not a live trading platform, broker, exchange, order-routing system, investment research service, signal service, copy-trading service, portfolio-management service, or real-time market-data product.

We may update, change, suspend, limit, improve, or discontinue aspects of the Service. For paid subscriptions, we will do so only for valid reasons, such as security, legal or regulatory compliance, technical improvements, changes to third-party services or data providers, prevention of misuse, product improvements, or changes that do not materially reduce the paid functionality you purchased. Where required by applicable law, we will give reasonable advance notice of material changes that adversely affect an active paid subscription and give you a right to cancel without penalty.

3. Educational Purpose Only — No Financial Advice

All content available on or through the Service is provided for general educational and informational purposes only. Nothing on the Service constitutes, or should be construed as, investment, financial, trading, tax, accounting, or legal advice, a personal recommendation, an offer or solicitation to buy or sell any security, derivative, commodity, currency, crypto-asset, or other financial instrument, or an inducement to engage in any investment activity.

Course content, instructor commentary, market analyses, written materials, charts, illustrations, examples, hypothetical trades, and any other materials made available through the Service are not tailored to your personal circumstances, financial situation, investment objectives, risk tolerance, or knowledge and experience. You should not act on any information from the Service without first seeking advice from a qualified, licensed professional in your jurisdiction.

4. Practice Cases Are Educational Exercises, Not Trade Signals

Any chart case, pattern example, quiz question, answer choice, feedback message, score, explanation, or label shown in the Service — including labels such as "Buy", "Sell", "Long", "Short", "Hold", "Exit", or "Nothing" — is provided solely as part of an educational exercise. These labels do not refer to your personal circumstances and are not investment advice, trading advice, a personal recommendation, a forecast, a signal, or an instruction to enter, exit, hold, or avoid any real trade.

Practice cases may be based on historical, delayed, simulated, simplified, anonymized, adjusted, or otherwise modified market data. They may omit information that would be relevant to a real trading decision, such as spread, liquidity, execution risk, fees, tax, slippage, funding costs, position size, risk limits, macroeconomic events, or the user's financial situation.

You must not use any practice case or answer shown in the Service as the basis for a real-money trade.

5. No Broker-Dealer, Investment Adviser, or Financial Institution Status

Path2Trade is not a registered or licensed broker, broker-dealer, investment adviser, investment firm, portfolio manager, futures commission merchant, commodity trading adviser, payment institution, money transmitter, bank, credit institution, or other regulated financial institution in any jurisdiction. Without limitation, we are not authorized or regulated as an investment firm under Directive 2014/65/EU (MiFID II) in the European Union, as a broker-dealer or investment adviser under U.S. federal or state securities laws (including by the U.S. Securities and Exchange Commission, FINRA, or the CFTC), or by the UK Financial Conduct Authority. We do not hold customer funds, execute trades on your behalf, or manage assets.

6. Risk Disclosure

Trading and investing in financial instruments involves a substantial risk of loss, including the loss of all of your invested capital. You should not engage in trading or investing unless you can afford to lose the amounts involved.

Without limitation, you acknowledge and accept that:

You are responsible for understanding the nature and risks of any financial instrument before transacting in it.

7. No Guarantee of Results, Profit, or Income

Path2Trade does not promise, guarantee, or imply that you will earn money, achieve a particular trading result, recover any losses, generate income, become a profitable or professional trader, or pass any examination, certification, or funded-trader evaluation as a result of using the Service. Any earnings, profit, percentage-return, or performance figures referenced on the Service (whether attributable to instructors, students, hypothetical scenarios, or otherwise) are illustrative only, are not typical, and should not be relied upon as a representation of what you can or will achieve.

Your results, if any, will depend on many factors outside our control, including your own skill, effort, capital, market conditions, the brokers and instruments you choose, and your discipline in following risk-management practices.

Any score, streak, badge, level, ranking, progress bar, skill map, accuracy percentage, completion status, or similar metric shown in the Service is a learning and motivation tool only. It is not a certification, qualification, professional credential, trading-readiness assessment, investment-suitability assessment, or guarantee that you can trade profitably or safely in real markets.

Statements on the Service or in our marketing about learning to read charts, recognizing patterns, building consistency, improving accuracy, filtering noise, or identifying potential setups describe educational goals and product features only. They are not promises of trading success, profitability, improved investment performance, reduced risk, or suitability for real-money trading.

8. User Responsibility for Trading Decisions

All trading, investment, and financial decisions you make are made solely by you and at your own risk. You are solely responsible for: (a) deciding whether any information or technique discussed on the Service is suitable for you; (b) the selection and use of any broker, exchange, trading platform, or other third-party service; (c) compliance with all laws, regulations, tax obligations, and licensing requirements applicable to you in your jurisdiction; and (d) the consequences of any action or inaction you take in reliance on the Service. We strongly recommend that you consult an independent, qualified, licensed professional before making any financial decision.

9. No Fiduciary Relationship

Nothing in these Terms or in your use of the Service creates an adviser-client, broker-client, fiduciary, agency, partnership, joint venture, employment, or franchise relationship between you and Path2Trade. Communications between you and Path2Trade (including with instructors or customer support) are educational and informational only, and are not investment recommendations.

10. Eligibility and Age

The Service is intended only for users who are at least 18 years old and have reached the age of legal majority and contractual capacity in their jurisdiction of residence. By accessing or using the Service you represent and warrant that you meet these requirements. If you do not, you may not use the Service, register an account, or make any purchase.

You further represent that you are legally permitted to access financial educational content in your jurisdiction and that your use of the Service does not violate any law, regulation, or restriction applicable to you.

11. Acceptable Use

You are responsible for your use of the Service and for any use made through your account. You agree not to, and not to attempt to:

The Service is not intended to host public user-generated content. Unless we expressly enable a feature for that purpose, you may not upload, post, publish, or transmit content for display to other users.

12. Registration and Account Security

To access certain features of the Service you must register an account. In connection with registration you agree to: (i) provide accurate, current, and complete information about yourself; (ii) maintain the confidentiality of your password and any other account credentials; (iii) promptly update your registration information to keep it accurate, current, and complete; and (iv) be fully responsible for all use of your account and for any actions that take place through your account, whether or not authorized by you. You must notify us promptly at support@path2trade.com if you suspect any unauthorized use of your account or any breach of security.

13. Your Representations and Warranties

You represent and warrant to Path2Trade that your access to and use of the Service will comply with these Terms and with all applicable laws, rules, and regulations of European Union, the United States, and any other relevant jurisdiction, including laws regarding online conduct, acceptable content, securities, consumer protection, anti-money-laundering, sanctions, and the export or transmission of data.

You further represent and warrant that you are not: (i) organized under the laws of, operating from, or otherwise ordinarily resident in a country or territory that is the subject of comprehensive U.S., EU, UK, or UN economic or trade sanctions; (ii) identified on a list of prohibited or restricted persons, including the U.S. Treasury Department's List of Specially Designated Nationals and Blocked Persons, the EU Consolidated List of Persons subject to financial sanctions, or the UK Sanctions List; or (iii) otherwise the target of any applicable sanctions regime.

14. Free Tier and Paid Subscriptions

14.1 Free Tier

Path2Trade offers a free tier of the Service. The free tier is provided at no cost and may include limited content, limited features, advertisements, and usage caps that we may set or change in our sole discretion. We may modify, restrict, suspend, or discontinue all or any part of the free tier at any time, with or without notice, and without liability to you.

14.2 Paid Subscriptions and Auto-Renewal

Certain features and content require a paid subscription. By purchasing a subscription, you authorize us (or our payment processor) to charge the payment method you provide for the applicable subscription fee, plus any applicable taxes, on each billing cycle.

Before you place a paid order, we will show the main characteristics of the plan, the total price including applicable taxes, the billing period, whether and when the subscription renews, and the cancellation conditions. Where an online order button or similar function is used, it will be labelled in a clear and easily legible way, such as "Subscribe with obligation to pay", "Pay now", or another unambiguous wording indicating that placing the order entails an obligation to pay.

Unless stated otherwise at the point of sale, paid subscriptions automatically renew at the end of each billing period (for example, monthly or annually) at the then-current price for the same subscription term, until cancelled. You may cancel at any time through your account settings; cancellation will take effect at the end of the then-current billing period, and you will continue to have access to the paid features through the end of that period. We will provide any reminders, confirmations, and cancellation mechanisms required by applicable consumer-protection law in your jurisdiction.

14.3 Fees and Taxes

You agree to pay all fees and applicable taxes incurred by you or by anyone using a Path2Trade account registered to you, at the prices in effect when the charges are incurred. We may change the prices of our paid subscriptions and other offerings at any time; price changes affecting an existing paid subscription will take effect at the start of the next billing period after we have given you reasonable advance notice, and you may cancel before that date if you do not accept the change. Prices displayed to customers in the European Union are inclusive of applicable VAT unless stated otherwise. All information you provide in connection with a purchase must be accurate, complete, and current.

14.4 Payment Processors

All financial transactions in connection with the Service are processed by third-party payment processors in accordance with their own terms and privacy policies. We encourage you to review those terms. We are not responsible for the acts or omissions of any third-party payment processor, including any system downtime, payment failure, or processing error.

14.5 Refund Policy and EU Withdrawal Right

Except as required by mandatory law in your jurisdiction, all fees paid for the Service are non-refundable and there are no refunds or credits for partially used subscription periods, unused content, or features you choose not to use. If you cancel a paid subscription, you will continue to have access to the paid features through the end of the current billing period.

For consumers in the European Union and the European Economic Area: you have a statutory right to withdraw from a distance contract for the supply of paid digital content or services within fourteen (14) calendar days from the date the contract is concluded, without giving any reason. To exercise this right you must inform us with a clear statement (for example, by email to support@path2trade.com) before the 14-day period expires. You may use the model withdrawal form provided in Annex I(B) of Directive 2011/83/EU, but it is not mandatory.

Digital content and immediate access. Where a paid plan gives you access to digital content not supplied on a tangible medium, you may be asked at checkout to give your express prior consent for us to begin supplying that digital content during the 14-day withdrawal period and to acknowledge that you lose your right of withdrawal once supply of that digital content has begun. If you do not give that consent and acknowledgment, we may delay access to the paid digital content until the withdrawal period has expired.

Digital services and immediate performance. Where a paid plan is treated as a digital service, you may be asked at checkout to expressly request that we begin providing the Service during the 14-day withdrawal period. If you withdraw after performance has begun but before the Service has been fully performed, you may be required to pay a proportionate amount for the Service provided up to the time you informed us of your decision to withdraw, unless mandatory law in your country provides otherwise. Once a service has been fully performed at your express request and with your acknowledgment, you may lose your right of withdrawal.

Any consent, request, and acknowledgment described above must be given separately from mere acceptance of these Terms and will be confirmed to you on a durable medium where required by applicable law.

Refunds after valid withdrawal. If you validly withdraw from a paid contract under this Section, we will reimburse all payments received from you without undue delay and in any event no later than fourteen (14) days after the day on which we are informed of your decision to withdraw. We will use the same means of payment that you used for the initial transaction, unless you expressly agree otherwise, and you will not incur any fees as a result of the reimbursement. If you requested that we begin providing a digital service during the withdrawal period, we may deduct a proportionate amount for the Service provided before you informed us of your decision to withdraw, where permitted by applicable law.

Online withdrawal function. Where required by applicable EU or national consumer law, we will make available an electronic withdrawal function on the Service during the applicable withdrawal period. The function will be labelled "Withdraw from contract here" or with an equivalent unambiguous wording, and the final confirmation step will be labelled "Confirm withdrawal" or with an equivalent unambiguous wording. We will acknowledge receipt of an online withdrawal statement without undue delay on a durable medium, such as email, including the date and time of submission.

If you purchased through a third-party platform (for example, an app store), payments and refunds are handled by that platform in accordance with its terms, and we cannot issue refunds for those purchases.

15. Promotion Codes

We may offer codes that can be redeemed for discounts, free trials, extended free trials, or prepaid subscriptions ("Promotion Codes"). Unless stated otherwise, Promotion Codes (i) have no cash value and may not be redeemed for cash or for a refund on an existing subscription or past purchase; (ii) may be redeemed only once per eligible user; (iii) may be subject to expiration dates, eligibility limits, and overall redemption limits; (iv) may not be resold, transferred, or combined with other offers, and any Promotion Code that has been resold or transferred is void; and (v) may be modified, suspended, or terminated by us at any time. If you redeem a Promotion Code for an extended free trial that converts to a paid subscription, the terms of Section 14 (including auto-renewal) apply at the end of the free-trial period unless you cancel beforehand. If a Promotion Code is redeemed or used in violation of these Terms, we may invalidate it and terminate any services obtained from it, without refund.

The Service may contain links to, or integrations with, third-party websites, brokers, exchanges, data providers, advertisers, or services that are not owned or controlled by Path2Trade. We do not endorse and are not responsible for any third-party site, service, content, product, advertisement, or offer. If you access any third-party website or service from the Service, you do so at your own risk, and these Terms and our Privacy Policy do not apply to your use of those third parties. You expressly acknowledge and agree that Path2Trade is not responsible or liable, directly or indirectly, for any loss or damage arising from your use of any third-party website, service, broker, exchange, or content.

No endorsement of brokers or trading providers. If the Service mentions, links to, compares, integrates with, or displays information about any broker, exchange, prop-trading firm, trading platform, charting provider, data provider, newsletter, community, or other third-party service, this does not mean that we recommend, endorse, approve, or have verified that service, or that it is suitable for you. You are solely responsible for conducting your own due diligence before opening an account, depositing funds, paying fees, or trading with any third party.

Affiliate and commercial relationships. We may receive compensation, referral fees, affiliate commissions, sponsorship fees, advertising revenue, or other benefits from third parties mentioned on or linked from the Service. Any such commercial relationship does not change the educational-only nature of the Service and does not make any third-party product or service suitable for you.

The Service may include advertisements. The types and extent of advertising on the Service are subject to change. In consideration for us granting you access to the Service, you agree that we and our third-party providers and partners may place such advertising in connection with the Service.

17. Disclaimer of Warranties

The Service, including all content, materials, and information provided through it, is provided to you on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Path2Trade and its suppliers, licensors, and service providers make no representations or warranties of any kind, express, implied, or statutory, with respect to the Service. All such representations and warranties — including warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, completeness, currency, non-infringement, uninterrupted or error-free operation, and any results to be obtained from use — are expressly disclaimed.

Without limiting the foregoing, Path2Trade does not warrant that the Service will meet your requirements, that any educational content is accurate, current, complete, or suitable for any particular purpose, or that any trading technique, strategy, or example discussed will be profitable. Access to and use of the Service may be unavailable from time to time during periods of peak demand, system upgrades, malfunctions, scheduled or unscheduled maintenance, or for other reasons.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. Nothing in this Section limits or excludes any non-excludable statutory warranty, guarantee, or right that applies to you as a consumer under mandatory law in your jurisdiction (including, where applicable, your rights under Directive (EU) 2019/770 on the supply of digital content and digital services).

EU/EEA consumer rights for digital content and digital services. If you are a consumer in the European Union or European Economic Area, nothing in these Terms limits your mandatory rights under the laws implementing Directive (EU) 2019/770 or other applicable consumer-protection law. Where required by such law, you may be entitled to have digital content or a digital service brought into conformity, to receive a proportionate price reduction, or to terminate the contract. During an active paid subscription, we will provide updates that are necessary to maintain conformity of the paid digital content or digital service, where required by applicable law.

18. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Path2Trade, its affiliates, or their directors, officers, employees, contractors, agents, suppliers, or licensors be liable to you or any third party claiming through you, whether based in contract, tort (including negligence), strict liability, or any other theory, for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of trading gains, loss of expected savings, loss of business or business opportunity, loss of goodwill, loss of data, or cost of substitute services, arising out of or relating to your access to or use of, or inability to access or use, the Service, even if Path2Trade has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Path2Trade's total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service, regardless of the form of action, is limited to the greater of (a) the amounts you have paid to Path2Trade for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred euros (EUR 100). The existence of more than one claim does not increase this limit.

Nothing in these Terms excludes or limits Path2Trade's liability for: (i) death or personal injury caused by its negligence; (ii) fraud or fraudulent misrepresentation; (iii) gross negligence or wilful misconduct; or (iv) any other liability that cannot be excluded or limited under the mandatory law applicable to you, including, for EU consumers, your mandatory rights under the consumer-protection laws of Path2Trade HQ Country and the European Union.

You acknowledge that the pricing of the Service and the bargain reflected in these Terms rely on these limitations of liability, which allocate risk between you and Path2Trade.

19. Indemnification

If you use the Service in the course of a trade, business, craft, or profession (i.e., not as a consumer), you agree to defend, indemnify, and hold harmless Path2Trade and its affiliates, directors, officers, employees, contractors, agents, suppliers, licensors, successors, and assigns from and against any and all losses, claims, causes of action, obligations, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your breach of these Terms or of any law or third-party right; (c) any trading, investment, or financial decision you make in reliance on the Service; or (d) any misrepresentation made by you to us.

This indemnification obligation does not apply to consumers to the extent it would be unenforceable under the mandatory consumer-protection laws applicable to them, including the laws of European Union.

20. Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice and with or without cause, including if we reasonably believe that you have violated these Terms, presented a risk or legal exposure to us or to other users, or used the Service in a manner inconsistent with its educational purpose. Where you have a paid subscription and we terminate without cause, we will refund the unused portion of any pre-paid fee on a pro-rata basis, to the extent required by applicable law.

You may stop using the Service at any time and may close your account by following the instructions available in your account settings or by contacting us at support@path2trade.com. The following Sections survive any termination of these Terms or your account: 3–9, 13, 14.3–14.5, 17–19, and 21–32.

21. Intellectual Property

All content available through the Service — including course materials, lessons, videos, audio recordings, text, articles, scripts, graphics, images, charts, illustrations, software, designs, "look and feel," and their selection and arrangement ("Service Content") — is the proprietary property of Path2Trade or its licensors and is protected by copyright, trademark, database, and other intellectual property laws.

Subject to your compliance with these Terms, Path2Trade grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service Content solely for your own personal, non-commercial educational use through the Service. You may not, and may not permit any third party to: copy, modify, adapt, translate, reproduce, distribute, publicly display, perform, frame, mirror, republish, download (other than caching strictly incidental to ordinary browsing), record, screen-capture, scrape, sell, sublicense, or create derivative works of any Service Content, in whole or in part, except as expressly permitted by these Terms or by mandatory applicable law. All rights not expressly granted are reserved.

22. User Content, Exercise Responses, and Feedback

User Content. If the Service allows you to submit, upload, post, or transmit content, including text, images, comments, profile information, messages, trading notes, screenshots, or other materials ("User Content"), you remain responsible for that User Content. You represent that you have all rights necessary to submit it and that it does not violate any law, third-party right, or these Terms.

You grant Path2Trade a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, process, adapt, modify, and use your User Content solely as necessary to operate, provide, secure, moderate, maintain, and improve the Service, to comply with law, and to enforce these Terms. This license ends when your User Content is deleted from the Service, except to the extent that continued retention is necessary for legal, security, backup, dispute-resolution, or legitimate business purposes, or where the content has been anonymized or aggregated.

Exercise responses and learning activity. When you use the educational activities in the Service, we may process information generated by your use, including answers, attempts, timing, accuracy, progress, streaks, skill-map data, and interaction data ("Learning Activity Data"). We may use Learning Activity Data to provide feedback, personalize practice, measure progress, maintain the Service, detect abuse, develop new features, improve educational quality, and create aggregated or anonymized analytics. Learning Activity Data that identifies you will be handled in accordance with our Privacy Policy.

Feedback. If you send us ideas, suggestions, corrections, comments, or other feedback about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you. This does not affect your rights in personal data under applicable data-protection law.

23. Trademarks

"Path2Trade," the Path2Trade logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Path2Trade or its affiliates. Other trademarks, service marks, and logos appearing on the Service are the property of their respective owners. Your access to and use of the Service does not grant you any right or license to use the Path2Trade name or any Path2Trade or third-party trademark, service mark, or logo.

24. Privacy

Your use of the Service is also governed by our Privacy Policy, available at /privacy, which describes how we collect, use, and share information about you and the rights you have under applicable data-protection laws (including, for EU users, the General Data Protection Regulation, Regulation (EU) 2016/679). By using the Service, you acknowledge that you have read the Privacy Policy.

25.1 DMCA Notice (US Users)

If you are a copyright owner and believe in good faith that material available through the Service infringes your copyright, you may submit a notification under the U.S. Digital Millennium Copyright Act (17 U.S.C. §512) by providing the following in writing to our designated agent:

  1. an electronic or physical signature of the copyright owner or of a person authorized to act on the owner's behalf;
  2. identification of the copyrighted work claimed to have been infringed;
  3. identification of the material claimed to be infringing and where it is located on the Service, with enough detail to enable us to find it;
  4. your address, telephone number, and email address;
  5. a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
  6. a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

Counter-notices may be submitted in accordance with 17 U.S.C. §512(g). Our designated agent for notices may be reached by email at support@path2trade.com. Only copyright-infringement notices should go to this address.

25.2 EU Digital Services Act — Contact Point and Notices

Where and to the extent Regulation (EU) 2022/2065 (the "Digital Services Act") applies to the Service, our single point of contact for users, authorities, and notices of allegedly illegal content is: support@path2trade.com.

26. Governing Law

These Terms and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of Path2Trade HQ Country, excluding its conflict-of-laws principles and excluding the United Nations Convention on Contracts for the International Sale of Goods. This choice of law does not deprive a consumer of the protection of any mandatory rules of the law of the country in which the consumer has his or her habitual residence, in accordance with Article 6 of Regulation (EC) No 593/2008 (Rome I).

27. Choice of Forum

Subject to Section 28 (Additional Terms for Users in the United States), all judicial proceedings relating to or arising out of these Terms or the Service shall be brought exclusively in the competent courts of Path2Trade HQ Country, and the parties consent to the personal jurisdiction of those courts. If you are a consumer domiciled in the European Union, nothing in this Section deprives you of your right under Articles 17–19 of Regulation (EU) No 1215/2012 (Brussels I bis) to bring proceedings against us in the courts of the EU Member State in which you are domiciled, or to require that proceedings against you be brought in those courts.

Consumer dispute resolution. If you are a consumer and have a complaint, please contact us first at support@path2trade.com so that we can try to resolve the matter directly. We are not obliged and do not agree to participate in alternative dispute resolution proceedings before a consumer arbitration board, unless mandatory law in your country requires otherwise.

28. Additional Terms for Users in the United States

Scope. This Section 28 applies only to users who, at the time the dispute arises, are resident in or domiciled in the United States. It does not apply to consumers in the European Union, the European Economic Area, the United Kingdom, or any other jurisdiction whose mandatory consumer-protection law would invalidate it. For those users, Sections 26 and 27 govern dispute resolution.

Any dispute or claim relating to these Terms or the Service and seeking monetary relief shall be resolved by binding arbitration on an individual basis according to this Section.

Informal resolution. Before initiating any arbitration, the party seeking arbitration (the "Claimant") must first send a written Notice of Claim to the other party (the "Respondent") by email (for notices to us, at support@path2trade.com) or by U.S. Certified Mail. The Notice must contain the Claimant's name, address, and contact information; the identity of counsel, if any; the nature and basis of the claim; and the specific relief sought. Within thirty (30) days after receipt of the Notice, the parties shall engage in at least one good-faith settlement conference by telephone or video conference. Arbitration may be initiated only if no settlement is reached at this conference.

Arbitration rules. The arbitration shall be conducted by a single arbitrator and administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, Procedures for the Resolution of Disputes Through Document Submission, and Consumer Fee Schedule (the "AAA Rules"), together with the provisions of this Section. Where the AAA Rules conflict with this Section, this Section prevails. If the AAA is unavailable, the parties shall arbitrate through another mutually agreed organization or, failing agreement, on an ad hoc basis under the rules in this Section. The arbitration shall be conducted in the English language.

Small claims. If a claim is within the jurisdiction of a small-claims court, either party may choose to have the case heard in that court on an individual basis instead of arbitration.

Class action waiver. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. There shall be no class arbitration, no collective arbitration, no representative-action arbitration, and no joinder of claims, except as provided for in the AAA's Supplementary Rules for Multiple Case Filings. If twenty-five (25) or more similar Demands for Arbitration are filed against or on behalf of the same party or related parties, and representation of the parties is consistent or coordinated across the cases, then those Supplementary Rules apply.

Opt-out. If you do not want to arbitrate disputes with Path2Trade and you are an individual, you may opt out of this arbitration agreement by sending an email to support@path2trade.com within thirty (30) days of the date you first access or use the Service. The email must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement.

Injunctive relief. Notwithstanding the foregoing, either party may apply for and obtain non-monetary, injunctive, or other equitable or urgent relief from a court of competent jurisdiction without first engaging in arbitration or informal dispute resolution.

These Terms were originally drafted in English. If we provide a translation, the English version controls in the event of any conflict, except where mandatory law in your jurisdiction provides otherwise.

30. Changes to These Terms

We may amend or update these Terms from time to time. If we make material changes, we will post a notice on the Service and, where required by law or where the change adversely affects your existing rights as a paying user, we will provide reasonable advance notice by email or in-product notice. Any revisions become effective the later of (i) the date stated as the new effective date and (ii) thirty (30) days after notice is given, unless a shorter period is required for legal compliance. If you do not agree to the revised Terms, you must stop using the Service and may cancel any paid subscription in accordance with Section 14. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of them.

For users with an active paid subscription, we will not make material changes to these Terms or to the core paid functionality of the Service without a valid reason. Valid reasons may include changes in law, regulation, security needs, technical requirements, third-party service or data-provider changes, prevention of misuse, product improvements, or changes to our business model. If a material change negatively affects your existing paid subscription, we will provide reasonable advance notice where required by law, and you may cancel before the change takes effect. Where mandatory law requires a refund or other remedy, we will provide it.

32. Miscellaneous

These Terms, together with the Privacy Policy and any other terms expressly incorporated by reference, constitute the entire agreement between you and Path2Trade concerning the Service and supersede all prior or contemporaneous understandings on that subject. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect. A waiver by either party of any provision of these Terms or of any breach of them, in any one instance, shall not waive that provision or any subsequent breach. You may not assign or transfer these Terms or your rights under them, by operation of law or otherwise, without our prior written consent; any attempted assignment without such consent is void. Path2Trade may assign these Terms in whole or in part without your consent, including in connection with a merger, acquisition, reorganization, or sale of assets. Headings are for convenience only and do not affect interpretation. These Terms will bind and benefit the parties and their respective successors and permitted assigns.
